Amy I. Pandit is a partner in Morgan Lewis's Business and Finance Practice. Ms. Pandit represents publicly-traded corporate clients in corporate governance, executive compensation, and in federal securities laws, stock exchange, Sarbanes-Oxley, and Dodd-Frank Act compliance, and in diverse and complex corporate finance transactions. She regularly engages and counsels companies’ boards of directors and executive management teams on critical legal and compliance matters and advises them on key corporate governance issues most relevant to their business, shareholders, and other stakeholders, and recommends courses of action with respect to increasingly complex rules and regulations applicable to publicly-traded companies. She is also involved in designing and developing their executive compensation and other incentive programs and advising on the legal implications and potential public implications of such programs.

Ms. Pandit earned her J.D., cum laude, from Boston University in 1995, where she was a member of the Annual Review of Banking Law. She earned her M.A.L.D. from Tufts University in 1994 and her B.A. from Northwestern University in 1990.

Ms. Pandit is admitted to practice in Pennsylvania and New York.
