Bart J. Colli is a counsel in Morgan Lewis’s Business and Finance Practice. Mr. Colli focuses his practice on mergers and acquisitions, corporate governance, corporate finance, government and internal investigations, corporate counseling and board-related issues, and securities law.
Prior to joining Morgan Lewis, Mr. Colli served as chief legal officer at ARAMARK Corporation. Mr. Colli served as executive vice president, general counsel, and secretary of the $13 billion managed services company from February 2000 until May 2009. When he retired from his position at ARAMARK in May 2009, he continued to provide legal services to the company on a consultant basis. During his time with ARAMARK, he headed the company's 45-lawyer legal department, with lawyers in the United States, Canada, the United Kingdom, Germany, and Chile; was responsible for the legal aspects of all board of directors and board committee activities; and was a member of the Management Committee.
While Mr. Colli was the company's general counsel and corporate secretary, ARAMARK went public; went private; made acquisitions domestically and overseas; defended class actions, private litigation, and government investigations at the federal and state level and internationally; conducted internal investigations domestically and internationally; complied with SEC disclosure requirements; and developed and implemented its compliance program.
Prior to ARAMARK, Mr. Colli was head of the Corporate Department at a large New Jersey law firm. He represented a broad range of companies, from enterprises preparing for initial public offerings to large publicly traded companies, major financial institutions, and private equity groups. Mr. Colli also served as an expert witness in litigation on securities law matters.
Mr. Colli has been a frequent lecturer and author on subjects relating to corporate finance, banking, and securities law. He has been the chairman of the New Jersey Bar Association’s Business Organizations Committee of the Corporate and Business Law Section and a member of the New Jersey Bar Association Securities Law Committee; the American Bar Association Section of Corporation, Banking, and Business Law; and the Federal Regulation of Securities Committee. Mr. Colli has also been a trustee of the Tri-County Scholarship Fund and BLOCS and a member of the Delaware Valley Association of Corporate Counsel.
Mr. Colli received his J.D., cum laude, from Harvard Law School in 1971 and his B.A., summa cum laude and Phi Beta Kappa, from Fordham University in 1968.
Mr. Colli is admitted to practice in Pennsylvania, New York, and New Jersey.
