Highly Leveraged ESOP Transactions | 10:15–11:30 am

Trends in ESOP transactions have many companies going to 100% ESOP, either in a single transaction or in second stage transactions (many occurring before the first one is completed). This session will address administrative issues with highly leveraged ESOP transactions: why an administrator ought to be involved in transaction design. The session would cover: managing super long term ESOP Loans within the exempt loan rules; dealing with extreme ratios of value to compensation; alternative transaction structures that are easier to administer; testing and compliance issues that arise, etc.

Our experts will use case studies illustrating different ways for an ESOP company to raise third party capital, while still preserving the tax-efficient ESOP structure, and also addressing the types of situations/opportunities that are attractive to the various types of investors (senior debt, sub debt, unitraunche and equity investors, etc.).

This session will present an overview of insurance policies available for ESOP and corporate fiduciaries. Topics addressed will include: types of coverage, amounts of coverage, deductibles and retentions, policy terms to look for, and how one type of insurance coverage can affect another. Indemnification of ESOP and corporate fiduciaries also will be discussed.
