The SEC’s New Emphasis on Nonfraud/​Internal Controls Violations

Following Securities and Exchange Commission (SEC) Chair Mary Jo White’s 2013 “broken windows” speech, the SEC’s Division of Enforcement has ramped up its focus on nonfraud technical accounting and disclosure violations, as well as on internal control deficiencies. At the same time, regulators are focusing more closely on the role of audit committees. Join a panel of experienced Morgan Lewis lawyers for a hypothetical case study of a public company confronted with red flags of an internal control breakdown and the resulting SEC inquiry.
