George G. Yearsich is a partner in Morgan Lewis's Securities Practice. Mr. Yearsich’s practice focuses on a wide range of corporate and securities law matters, with a heavy emphasis on advising corporate and broker-dealer clients with respect to disclosure and securities law compliance issues, corporate governance matters, and transactions, including mergers and acquisitions and public and private offerings of securities. In addition, Mr. Yearsich provides counseling on employee benefit plans, executive compensation, stockholders’ agreements, hostile takeovers, and corporate restructurings. He also handles a variety of corporate and securities litigation, including securities fraud class action defenses and special committee assignments.
Prior to joining Morgan Lewis, Mr. Yearsich served as special counsel to two SEC Chairmen, Judge John S.R. Shad and Harold M. Williams, from 1979 to 1981. His other positions at the SEC, from 1977 to 1979, included legal assistant to Chairman Williams and staff attorney in the SEC’s Office of General Counsel. Before joining the SEC, he served as a clerk to Judge Herbert Y.C. Choy of the U.S. Court of Appeals for the Ninth Circuit.
