Carter Brod is a partner in Morgan Lewis's Business and Finance Practice. Mr. Brod is a U.S.- and English-qualified attorney focusing on international debt and equity securities offerings.
Mr. Brod's experience includes representation of underwriters and issuers—including corporations, banks, and sovereigns—on a range of debt and equity capital markets transactions, including offerings of Eurobonds, high yield notes, shares, depositary receipts, equity-linked instruments, and regulatory capital instruments. His experience includes U.S. offerings pursuant to Rule 144A, offerings outside the United States under Regulation S, traditional private placements, and U.S. SEC-registered offerings. Mr. Brod also advises clients on liability management transactions, including debt tender offers, consent solicitations, and exchange offers.
Mr. Brod has advised on several groundbreaking transactions in the emerging markets, including the first-ever international securities offering by a Ukrainian company and the first-ever international securities offerings from each of Albania, Belarus, and Georgia.
Prior to joining Morgan Lewis, Mr. Brod was a partner in the capital markets practice of another international law firm in its London and Moscow offices.
Mr. Brod earned his J.D. from the University of Pennsylvania Law School in 1993 and his B.A. from the University of Virginia in 1990.
Mr. Brod is admitted to practice in England and Wales as a Solicitor and in the state of Georgia (U.S.).
