Morgan Lewis presents "Public Offerings and Underwritings."
This session, which is the first of three that discusses the practice of public securities law, walks the participants through the initial public offering process and explains how private companies become publicly owned entities. The presenters will begin by answering general questions such as “why do a public offering” and “who are the players in an IPO.” They then will talk about some of the specifics in the IPO process, such as document drafting, conducting due diligence, working with the Securities and Exchange Commission and, ultimately, “going effective” by having a company’s securities publicly traded. The presenters will also touch upon some of the post-offering filing and disclosure requirements under the federal securities laws that would now apply to the public company.
