Many of the changes brought about by the Sarbanes-Oxley Act, the SEC's implementing regulations and the stock exchanges' and Nasdaq's new listing criteria will be in effect for the 2004 annual report and proxy season. Stricter requirements for director independence and heightened standards for board committees, as well as enhanced disclosure requirements for public companies will be applicable.
