On January 26, the IRS announced a proposal that may drastically change corporate tax administration by requiring annual disclosure of uncertain tax positions. Please join us for a webcast discussing the proposal and how it would impact not only tax administration, but also corporate governance and corporate litigation risk management.
IRS Announcement 2010-9 states that the IRS will require corporate taxpayers to file schedules with their yearly tax returns disclosing all uncertain tax positions, along with a quantification of maximum amounts relating to each such exposure. The proposed disclosures are detailed and would need to include a description of the issues and Internal Revenue Code sections potentially implicated. While providing an unprecedented roadmap for the IRS, such disclosures will also impact corporate governance and expose corporations to increased risk to securities class actions and other litigation.
