Morgan Lewis presents "Debt Financing and UCC Issues."

This presentation will focus on loan transactions, which are a specialized type of corporate transaction that uses documents, terms, and provisions unique to this area. The presenters will first provide a general overview on the structure of a loan transaction, and then they will instruct the associates on how debt financings differ from equity financings, particularly how the rights that a lender—as opposed to an equity investor—differ with respect to such things as voting rights and the right to demand repayment of the loan in the event of default. The presenters will explain how banks typically do business and will provide the associates with an understanding of the close, long-term relationship that a debt financing transaction often produces between the parties. Associates will be led through a typical loan agreement, where notable provisions, particularly affirmative and negative covenants of the borrower, will be introduced and discussed.
