Morgan Lewis presents "International Privacy Issues in U.S. Transactions." This session will discuss international privacy issues that affect how we counsel buyers and sellers of U.S. firms or assets held in the United States.

Although the United States has no omnibus privacy law, our patchwork of federal and state privacy regulations often will be relevant to a transaction, either in terms of potential liabilities and/or for valuation purposes. In some instances, a company's own privacy policies may interfere with a proposed structure of deal.

When U.S. firm stores process or transfer data from Europe (including the simple maintenance of a worldwide employee directory), strict European data laws may be implicated. It is important to consider whether a target has satisfied security requirements for maintaining private information and/or suffered any data privacy breaches and, if so, whether it complied with applicable notice requirements.

In today's transactions, privacy issues (including the target's practices and how private information that is acquired will be used and maintained) should be considered along with other traditional areas of diligence. In a similar vein, there also can be challenging issues that arise in connection with maintaining the confidentiality of privileged information and attorney work product, particularly given a split in how the courts are handling these questions.
