This presentation focuses on more novel tax structures and strategies that are being used to solve problems often found in M&A transactions, including the use of partnerships and limited liability companies, and derivative instruments, to achieve business goals. The presentation is intended to help corporate lawyers be sensitive to tax planning challenges and opportunities, and does not assume a deep technical knowledge of tax matters.

Topics to be discussed include:

· The use of "mixing bowl," leveraged, tracking and "partnership freeze" structures in lieu of a sale of high value, low tax basis assets.

· Strategies for investment by tax-exempt and non-US persons in operating partnerships and LLCs.

· Alternatives to stock options and restricted stock grants as incentives for management in M&A transactions.

· Alternatives to spin-offs, including recapitalizations and tracking stock.

· Recent changes to the tax-free reorganization rules, including with regard to non-US corporations and disregarded entities.
