Morgan, Lewis & Bockius, LLP presents Entity Formation - How to Form an Entity; Tax Implications in the Choice of Entity and the Business Transaction

This interactive session examines several different types of Delaware business entities: a C corporation, an S corporation, a limited liability company, a limited partnership and a general partnership, and examines the benefits and drawbacks of organizing a business under each one.  The presenters will provide hypothetical, start-up business scenarios and ask the participants, in each scenario, to pick an entity under which to form such business, and to provide reasons in support of their decision.  Since tax implications are of primary importance when forming a business entity, some time towards the end of the presentation will be devoted solely towards exploring the tax implications associated with each entity listed above.
