The 2005 annual report and proxy season will mark a further evolution of legal and regulatory developments emanating not only from the Sarbanes-Oxley Act, but also from other SEC initiatives and institutional mandates. While the initial implementation of Section 404 of the Sarbanes-Oxley Act will be the primary focus in 2005, other issues have become pertinent. These include compensation committee disclosures about executive compensation, nominating committee processes for director nominations and other corporate governance issues. Our panel will present a two-hour seminar designed for executives, board members and in-house counsel at public companies.
