GEO's 13th Annual International Conference

Morgan Lewis partners Mims Maynard Zabriskie and Zaitun Poonja, along with Irv Becker from Hay Group, will present in a panel titled "Equity Plan Design in the U.S." at GEO's 13th Annual International Conference.

The economic crisis and regulatory reform in the U.S. have had and will continue to have a significant impact on equity plan design in the U.S. Learn about the current trends in U.S. equity plan design, the impact that regulatory reform has had on U.S. equity compensation, risk mitigation features being adopted in the U.S. and how to adapt these features for non-U.S. plans. The panel will address these issues from the perspective of issuers, compensation consultants and lawyers who design equity plans in the U.S. and globally. Those attending this session will also learn about the current landscape in terms of types of awards, vesting criteria (including performance criteria) and grant levels. The panelists will also address the impact of Say on Pay and shareholder involvement on plan design and the importing of U.S.-style provisions into non-U.S. plans and the legal and practical impediments to be addressed. The session will include a discussion of risk mitigation techniques being adopted in the U.S., such as clawbacks, restrictive covenants, use of discretionary cutbacks and share ownership requirements as wells as the legal, tax, enforcement and other issues of such provisions.
