Morgan Lewis presents "Key Issues and Recent Developments in Commercial Services Contracts and M&A Transactions."
During this session, we will highlight key legal issues in the commercial services contract from startup issues, scope definition, performance standards, and personnel and security requirements to liability and termination rights and planning a successful exit strategy. We will walk through the contents of a well-drafted services contract and look at positions that the customer of such services may be willing to take during negotiations. As part of the walk through, we will identify vendor "hot buttons" and discuss how to address the vendor's key concerns while getting the best deal for your company. We will also discuss some of the recent trends that are emerging with respect to commercial services contracts, including heightened focus on the protection of personal information, allocation of responsibility for security breaches, and rights of nonaffiliated third parties.
The discussion will also include the following:
- The functions of the different sections of standard M&A agreements
- Those specific provisions in M&A agreements that are highly negotiated
- Traditional methods/provisions that are material to the allocation of risk between buyers and sellers
- M&A due diligence
- Operating contract provisions that have a significant impact on the M&A process.
