This presentation will introduce the attorneys to the manners in which businesses raise capital, including through convertible debt (or "bridge financing") offerings and venture capital financings.  With respect to convertible debt offerings, the presenters will provide a general overview of their structure and the legal documents required to effectuate such transactions.  Subsequently, the presenters will explain venture capital financings and how this form of investing differs from bridge financing.  They will then begin to look at the different forms that venture capital financings can take, from the so-called "friends and family round" to the so-called "angel round."  The presenters will examine the operative legal documents that control a venture capital financing transaction.
