This webinar will address the specific implications which the new deferred compensation legislation has for equity compensation vehicles such as stock options, stock appreciation rights, restricted stock and restricted stock units and will also address the actions which must be taken either to bring these compensation vehicles into compliance with Internal Revenue Code Section 409A or to structure them so as to avoid the reach of the new law. The program will conclude with a discussion of the impact of Section 409A upon typical cash bonus programs.

Morgan Lewis hosted two web-based programs in late December 2004 after the issuance of Notice 2005-1 in which we reviewed the year end planning issues. In our follow-up programs in February and March, we will address what needs to be done during 2005 and will also begin the process of thinking about 2006 and later years.
