Morgan Lewis presents "Intellectual Property, Licensing, and Related Matters."
This presentation will familiarize business and finance junior associates with the specialized area of corporate law relating to licensing and commercial transactions. The presenter will begin by providing an overview of this practice and explaining the ways in which it combines the two practices of corporate law and intellectual property law. The presenter will then review, in detail, the purposes and provisions of some of the more common agreements used in their practice: a nondisclosure agreement; an employment, confidential information, and invention assignment agreement; and a consulting-services agreement. The presenter also will explain the legal concept of a "license" in the context of intellectual property, such as computer software, and how such a license is negotiated and how its terms are captured in a legal agreement.
