Our corporate and tax team, part of the firm’s Business and Finance Practice, represents Fortune 500 companies across many industries, both domestically and overseas. Our services include comprehensive representation in a broad scope of matters including mergers and acquisitions, public and private financings, restructurings, spin-offs, joint ventures and partnerships, securities regulations, private equity and venture capital transactions, and general corporate and securities counseling. We also provide comprehensive tax representation, including planning and implementation across a range of tax and capital markets–oriented areas.

Our Employee Benefits Practice provides risk transfer, ESOP, and consulting services to many financial institutions and privately held companies.

Our Labor and Employment Practice represents national and regional clients in discrimination, employee benefits, trade secret, OSHA, wage and hour, and union/company litigation and counseling matters. Our team is particularly active in assisting companies with matters related to workforce change, such as reductions in force (RIFs), as well as high-stakes ERISA litigation, including cases involving retiree health benefits and recent victories in the only two post-Enron stock-drop cases that have gone to trial. Our team also has experience defending employers in other complex employment litigation around the country and has been involved in the defense of significant wage and hour collective actions and employment discrimination class actions by private counsel, as well as pattern and practice claims by the EEOC.

Our Litigation Practice offers clients an impressive record of trial successes and advice in insurance recovery matters, including asbestos and environmental, toxic tort and product liability, property damage and business interruption, and financial fraud, as well as in securities regulatory and commercial litigation matters.
