Brian A. Bradshaw is a partner in Morgan Lewis's Business and Finance Practice and co-chair of the Latin America Team. Mr. Bradshaw has experience in a broad range of energy and infrastructure transactions and focuses his practice on the development of energy and infrastructure projects (with an emphasis on oil and gas, LNG, and power projects), acquisitions and divestitures, and domestic and international finance. He has experience with structuring, negotiating, and documenting the full range of project, M&A, and commercial financing documentation for domestic and international projects, including LNG liquefaction and regasification projects, FPSO and off-shore developments, refineries, cross-border pipelines, and power plants (including both fossil fuel and alternative energy).
Mr. Bradshaw's finance experience focuses on the representation of developers in commercial loans, multilateral and export credit agency financings, and DOE loan guarantees.
Mr. Bradshaw's energy project development experience specifically includes structuring and negotiating joint operating agreements, unitization agreements, and related upstream agreements; concession and production sharing agreements; development agreements; shareholder agreements; hydrocarbon sales agreements; gas transportation agreements; gas compression agreements; fuel supply agreements; interconnection agreements; EPC contracts; tolling agreements; power sales contracts; operation and maintenance agreements; land acquisition agreements; LNG supply agreements, terminal use agreements, and other LNG-related contracts; and other project documentation.
Prior to joining Morgan Lewis, Mr. Bradshaw was a partner in the energy transactions practice in the Houston office of an international law firm, where he focused his practice in the oil and gas field, with an emphasis on project development work in Latin America. Prior to that, he was an associate in the Houston office of another international law firm.
Mr. Bradshaw earned his J.D. from the University of Houston Law Center in 1995, where he was the associate editor of the Houston Law Review. He earned his M.B.A. from the University of Houston in 1995 and his A.B. from Washington University in 1991. He is fluent in Spanish and Portuguese.
Mr. Bradshaw is admitted to practice in Texas and in England and Wales as a Solicitor.
