Gary B. Wilcox is a partner in and manager of Morgan Lewis's firm’s Tax Practice, resident in both the Philadelphia and Washington, D.C. offices. Mr. Wilcox advises U.S. and international clients on a wide range of tax matters, including tax aspects of mergers and acquisitions, spin-offs, formations of joint ventures and partnerships, and structuring REIT offerings and transactions. He has also advised multinational clients in various cross-border transactions, including tax-minimization structures and post-acquisition integration planning. In addition to his transactions practice, Mr. Wilcox represents clients in federal tax controversies and also appears before the Treasury and Internal Revenue Service (IRS) to seek published guidance and rulings on behalf of clients.

Mr. Wilcox rejoined Morgan Lewis in March 2004, where he was partner from 1995 to 1997, after serving for two years as Deputy Chief Counsel for the IRS.

As Deputy Chief Counsel, Mr. Wilcox had primary responsibility within the IRS for the development of its positions on technical tax issues and the issuance of regulations and rulings, including guidance relating to tax-avoidance transactions. Together with his 700-attorney staff in the IRS National Office, Mr. Wilcox was instrumental in increasing the volume of published guidance for the benefit of taxpayers, tax professionals, and IRS agents. He received the Commissioner’s Award from both Commissioners Charles Rossotti and Mark W. Everson for his outstanding contributions to published guidance.

Prior to his government service, Mr. Wilcox served as co-leader of the Mergers and Acquisitions Tax Group in the Washington National Tax Services office of PricewaterhouseCoopers.

A frequent lecturer on corporate tax issues, Mr. Wilcox is the author of a nationally recognized treatise on corporate tax-free acquisitions. He is admitted to practice in Pennsylvania, the District of Columbia, North Carolina and Oklahoma.
