Mims Maynard Zabriskie is a partner in Morgan Lewis's Employee Benefits and Executive Compensation Practice, resident in the Philadelphia office. Ms. Zabriskie designs and helps clients implement executive compensation programs, equity compensation plans such as stock option plans and tax-qualified retirement plans. Ms. Zabriskie counsels clients on a wide variety of legal issues that arise in connection with employee benefit plans. Ms. Zabriskie has an extensive background in working with Fortune 500 companies, technology and bio-tech companies and other publicly and privately owned businesses.

Ms. Zabriskie designs and negotiates employment agreements and change of control agreements for key executives. She also helps companies prepare for a public offering or sale of the business with properly structured equity compensation plans and change of control agreements. Ms. Zabriskie negotiates the employee benefit aspects of sales, acquisitions, mergers and spinoffs of companies and has been responsible for the employee benefits aspects of many significant transactions.

Before joining the firm in 1996, Ms. Zabriskie was a partner at a major Richmond, Virginia firm, where she practiced law for 15 years. Ms. Zabriskie has been active in a variety of professional and civic organizations, and she lectures for continuing legal education programs on executive compensation and equity compensation issues. She is listed in The Best Lawyers in America (1995–2013), and Chambers USA (2007–2012).

Ms. Zabriskie received her J.D. from the University of Virginia in 1979 and her B.A. from Vanderbilt University in 1976.

Ms. Zabriskie is admitted to practice in Pennsylvania and Virginia and before the U.S. Supreme Court.
