Jennifer J. Goldberg is of counsel in Morgan Lewis's Business and Finance Practice. Ms. Goldberg focuses her practice on mergers and acquisitions, corporate finance transactions, and general corporate matters, with an emphasis on the energy industry.

Prior to joining Morgan Lewis, Ms. Goldberg was a business and finance partner at a national law firm.

Ms. Goldberg received her J.D. from Fordham University School of Law in 1999 and her B.A., cum laude, from the University of Rochester in 1996.

Ms. Goldberg is admitted to practice in New York.

  • Represented an electric utility in the auction sale of its domestic independent power production business unit to a private equity buyer for an amount in excess of $600 million.
  • Represented an electric utility holding company in a multibillion-dollar restructuring of its fossil and nuclear generation assets.
  • Represented a nonprofit municipal electric utility in a multibillion-dollar contract restructuring.
  • Represented a member of the S&P MidCap 400 index in the acquisition of various construction services and aggregates companies.
  • Represented a member of the S&P MidCap 400 index in its acquisition of a 50% ownership interest in a 225 MW natural gas-fired electrical generation facility located in the Republic of Trinidad and Tobago.
  • Represented a member of the S&P MidCap 400 index in its acquisition of a 50% ownership interest in a 310 MW natural gas-fired electric generating facility located in Georgia.
  • Represented an international luxury hotel owner and operator in the sale of its majority interest in a New York luxury hotel.
  • Represented a French company in its cash tender offer for the publicly traded shares of a U.S.-based consumer products testing company.
  • Represented a French company in its acquisition of the global operations of a U.S.-based fabric testing and inspection business.
  • Represented a Luxembourg-based company in the sale of its wholly owned subsidiary, a wireless telephone service provider, in Colombia.

Capital Markets and Financing Transactions

  • Served as counsel to the initial purchasers in connection with a $1.3 billion debt financing relating to the sale and leaseback of a unit of a 2,460 MW coal-fired generating facility.
  • Served as counsel to the underwriters and initial purchasers in connection with various offerings by electric utilities of senior notes, medium-term notes, first mortgage bonds, and other debt instruments aggregating more than $5 billion.
  • Served as counsel to the underwriters in connection with the offering by an electric utility holding company of $840 million of common stock.
  • Served as counsel to a Dubai-based telecommunications company in connection with two rounds of equity financing.
