William A. Myers is a partner in Morgan Lewis's Business and Finance Practice. Mr. Myers practices corporate and securities law, focusing on the representation of both public and private companies in mergers and acquisitions, including joint ventures, cross border transactions and leveraged buyouts. In addition, Mr. Myers has represented private equity firms, venture capital firms and their portfolio companies in corporate finance transactions, including strategic investments and securities offerings, and he regularly advises both public and privately-held clients on a broad range of general corporate and securities matters. He has acted as counsel to various start-up ventures in the software, healthcare, Internet and information services industries.

Mr. Myers has acted as lead M&A counsel to public companies such as Cisco Systems, Inc. and DoubleClick Inc., and, in such capacity, handled numerous acquisitions of both public and privately-held companies. He has represented other public companies, including Baxter Healthcare, Autonomy Corporation plc. and Jupiter MediaMetrix, in their strategic acquisitions, and has represented private equity firms in numerous leveraged buyouts. In addition, Mr. Myers has represented target companies in their sales to both strategic and financial buyers, including Legato Systems' merger with EMC Corporation for $1.3 billion and the sale of CamelBak Products, Inc. to Bear Stearns Merchant Manager in a leveraged buyout for $210 million. In connection with such M&A transactions, Mr. Myers has provided advice to boards of directors in their fiduciary duties, as well as related securities laws.

Mr. Myers is admitted to practice in California, New York, and Connecticut.
