Robert J. Lichtenstein is the leader of Morgan Lewis's Employee Benefits and Executive Compensation Practice and the leader of the Executive Compensation and Employee Benefits Interdisciplinary Practice Group. He is also a member of the firm's Advisory Board. Mr. Lichtenstein's clients include those in the retail, financial, hospitality, pharmaceutical, and manufacturing industries.
Mr. Lichtenstein provides counseling on all facets of executive compensation and employee benefits matters, including equity and incentive compensation plans, employment arrangements, ERISA, qualified retirement plans, and pension and profit-sharing plans, as well as litigating employee benefit claims and disputes. He also has experience in matters involving ESOPs, federal tax law, and representations before the Internal Revenue Service and the Department of Labor, as well as in general business counseling.
Mr. Lichtenstein designs and helps clients implement executive compensation programs, equity compensation plans such as stock option plans and tax-qualified retirement plans.
Mr. Lichtenstein has experience in the context of private equity buyouts of both public and non-public companies, having on numerous occasions represented the management team, as well as private equity investors. Representative transactions include his representation of management in leveraged buy-out transactions ranging from $100 million to over $25 billion.
Mr. Lichtenstein is a former director of a now-sold NYSE company and a former board member of a private manufacturing company. He is an adjunct professor at the University of Pennsylvania School of Law and at the Villanova University Law School. He is also very active with the Federation Allied Jewish Appeal.
