Scott Karchmer is a partner in Morgan Lewis's Business Transactions Practice. Mr. Karchmer counsels established and emerging companies in a broad spectrum of industries, including clean tech, biotech, medical device, networking and storage, and life sciences.

Mr. Karchmer advises companies at critical junctures in their life cycles, including formation, raising funds from venture capitalists, initial public offerings, mergers & acquisitions, and other typical and unusual issues faced by business organizations.

He counsels publicly listed companies on securities law, governance, and general corporate matters. He also has represented public companies in a wide variety of capital markets transactions, including PIPEs, registered direct offerings, convertible debt offerings, 144A offerings, and underwritten offerings.

Mr. Karchmer is manager of the firm's Business & Finance Group in the San Francisco office and the pro bono chair of the San Francisco office.

Mr. Karchmer is admitted to practice in California and Massachusetts.
