Barbara J. Shander is a partner in Morgan Lewis's Business and Finance Practice and co-leader of the firm's Private Equity Initiative. Ms. Shander advises public and private company clients as well as private equity funds, with an emphasis on mergers and acquisitions, dispositions, and financing transactions.

Ms. Shander has represented buyers and sellers in negotiated transactions involving privately held businesses and subsidiaries and divisions of public companies. Her practice also includes the representation of corporate clients in a wide variety of matters including mergers and acquisitions, debt financing, equity financing, corporate governance, commercial agreements, and corporate law. Ms. Shander's background in the debt finance area includes the representation of borrowers in financing transactions ranging from syndicated credits with institutional lenders to leveraged acquisition and asset-based financings to senior and mezzanine venture financings. In addition, Ms. Shander advises investors and companies in venture capital transactions and has handled all aspects of such transactions including structuring issues and the negotiation of deal documentation. Ms. Shander has represented clients in a wide variety of fields, including energy, utilities, technology, telecommunications, healthcare, and manufacturing.

Ms. Shander earned her J.D., magna cum laude, from Villanova University School of Law in 1995, where she was an associate editor for the Villanova Law Review. She earned her B.S., cum laude, in accounting from the University of Delaware in 1992.

Ms. Shander is a member of the board of directors of the Philadelphia Chapter of the Association for Corporate Growth, and is a former board member of The Wellness Community of Philadelphia. She is a member of the American Bar Association and the Philadelphia Bar Association.

Ms. Shander is admitted to practice in Pennsylvania and New Jersey.
