G. Jeffrey Boujoukos is a partner in Morgan Lewis's Litigation Practice. Mr. Boujoukos's practice focuses on securities, financial services, and commercial litigation, as well as SEC, FINRA, and other securities enforcement matters.

In the securities enforcement area, Mr. Boujoukos regularly defends clients nationwide in SEC and SRO enforcement matters. He has represented broker-dealers, clearing firms, investment advisers, mutual funds, and individuals regarding matters pending with the SEC in Washington D.C. and in its Regional Offices, including New York, Boston, Philadelphia, Miami, and San Francisco, as well as FINRA (formerly the NASD and NYSE) district offices, including Philadelphia, New York, Chicago, Denver, New Orleans, and Los Angeles. In addition, Mr. Boujoukos has represented clients in connection with matters before state authorities such as the New York, New Jersey, and Ohio Offices of the Attorney General. Representative matters include regulatory and enforcement matters involving non-cash compensation, mutual fund shelf space, gifts and gratuities, group variable annuities, pay-to-play regarding governmental contracts, and internal compliance procedures such as special supervision.

Mr. Boujoukos also has civil litigation experience in securities and other commercial matters. He has represented clients in shareholder class actions and derivative actions against public and private corporations, directors, and officers. Further, he has counseled clients in connection with failed transactions, closing balance sheet issues and breaches of representations and warranties, and these representations have taken him to courts throughout the United States. He has conducted hearings in numerous federal district courts, including the Eastern and Western Districts of Pennsylvania, the District of New Jersey, the District of Delaware, the District of Connecticut, and the Southern District of Texas. In addition, Mr. Boujoukos has litigated matters pending in more than a dozen counties in the Commonwealth of Pennsylvania. He has also appeared before the Pennsylvania Superior Court and the United States Court of Appeals for the Third Circuit.

Over the past several years, Mr. Boujoukos has tried to award a number of multimillion dollar arbitrations before FINRA and American Arbitration Association arbitration panels. These matters have involved claims against brokerage firms for breach of fiduciary duty, breach of contact, negligence, and breach of the federal securities laws.

Mr. Boujoukos recently completed a representation involving a clearing firm acquired by a client. During the transition phase after the acquisition, he worked on-site at the clearing firm for several months providing advice regarding the day-to-day operations of the firm, including interacting with employees, management, regulators, and outside counsel retained by the clearing firm. This representation provided Mr. Boujoukos with a unique opportunity to experience regulatory, operational, and litigation matters from a client perspective.

Mr. Boujoukos has served as a guest lecturer at the Drexel School of Law regarding the utility of arbitration as a method for dispute resolution, and recently conducted a CLE course on current trends in Securities Litigation. Further, Mr. Boujoukos has participated in broker-dealer in-house compliance training programs, speaking to registered representatives regarding current regulatory and statutory issues facing the securities industry.

Mr. Boujoukos is admitted to practice in Pennsylvania and Massachusetts.
