Zaitun Poonja is a partner in Morgan Lewis's Employee Benefits and Executive Compensation Practice. Ms. Poonja specializes in all areas of domestic and foreign equity compensation programs for both public and private companies. Her expertise includes U.S. tax, securities and financial accounting implications of such programs as well as foreign tax, securities, exchange control, labor law, data privacy and other legal implications related to the use of equity programs in foreign jurisdictions. Ms. Poonja also provides counseling with respect to section 16 reporting, equity compensation issues related to mergers and acquisitions, parachute tax issues and analysis, employment agreements and change in control benefit and severance programs.

Recent projects include the design and structure of option grants in over 70 countries, preparation of prospectuses and registration statements to comply with local securities laws, global analysis of option repricing/exchange programs, and design and implementation of U.S. equity programs for inbound non-U.S. entities.

Ms. Poonja is admitted to practice in California.
