Lawrence J. P. Scheer is an associate in Morgan Lewis's Investment Management and Securities Industry Practice.

Mr. Scheer advises internationally recognized securities industry clients, including broker-dealers, investment advisors, hedge funds, and private equity firms on a wide variety of regulatory issues. His advice encompasses issues arising from the Securities Act of 1933, the Exchange Act of 1934, the Investment Company Act of 1940, and the SRO rules. Issues that Mr. Scheer has addressed have included domestic and international regulatory registration issues in numerous jurisdictions, trading issues, derivatives, regulatory filing obligations, securities aggregation reporting, written supervisory procedures, private securities offerings, fund formation, and regulatory due diligence of financial services company acquisition targets.

Mr. Scheer also assists and advises such clients with respect to regulatory inquiries, regulatory exams, and all stages of regulatory enforcement investigations and related private litigation, including responses to information and document requests, exam deficiency letters, witness preparation, and Wells letters.

Mr. Scheer has also been seconded to both a major broker-dealer client and a major investment advisor client to handle a wide range of practical issues facing such clients, such as possession of material nonpublic information, research analyst issues, order flow issues, and negotiation and drafting of agreements relevant to investment advisory business. Mr. Scheer has also completed the FINRA Compliance Bootcamp.

Mr. Scheer received his J.D. from Harvard Law School in 2001. While in law school, Mr. Scheer was an editor for the Harvard International Law Journal and he worked as a summer law clerk in the Office of International Affairs of the Department of Justice and in the U.S. Attorney's Office, District of Columbia. Mr. Scheer received both his M.A. and B.A., magna cum laude, in political science from Emory University in 1998, where he graduated Phi Beta Kappa. He also was a member of the political science, history, and philosophy National Honor Societies.

Mr. Scheer is admitted to practice in New York.
