Michael L. Pillion is the founding partner of the Global Outsourcing, Technology, and Commercial Transactions Practice at Morgan Lewis. Mr. Pillion's practice focuses on information technology and business process outsourcing transactions, as well as other complex technology and commercial transactions, including system implementation, licensing, technology services, strategic alliances, and other agreements in support of sourcing and supply chain operations. He counsels clients on structuring outsourcing relationships, as well as the renegotiation, termination and realignment of existing transactions. 

Mr. Pillion represents a large and diverse client base, including in the health, life sciences, insurance, energy and financial institution industries. His recent outsourcing experience includes:

  • A series of IT outsourcing transactions for a leading provider of video, high-speed Internet and phone services in the United States.
  • A global IT transaction for one of the world's largest distributors of natural gas.
  • An innovative contractual joint venture between one of the leading health insurance companies and one of the leading outsourcing service providers to bring the provision of care management services to the market.
  • An industry-leading global multitower IT and business process outsourcing transaction for a leading pharmaceutical company.
  • Counseling a major pharmaceutical company in a series of outsourcing transactions including those for the following services: facilities management, global travel, corporate credit card, meeting planning, desktop computer management, benefits administration, clinical trial management, and clinical data management.
  • Many offshore software application development and maintenance deals, including multiple deals for each of a leading health insurance company, a major service provider to the investment services industry, and a leading provider of securities clearing and settlement services.
  • A human resources outsourcing (HRO) transaction for a major food services provider.
  • An HRO transaction for a leading provider of employee benefits.
  • Advised a major Mid-Atlantic retail chain and a leading distributor of office equipment in warehouse and logistics outsourcing transactions.

In addition to outsourcing, Mr. Pillion has assisted clients in negotiations relating to the implementation of complex ERP systems. He also counsels clients on commercial real estate leasing matters, acquisitions and divestitures, joint ventures, and strategic alliances.

Mr. Pillion is a frequent speaker on outsourcing and technology transaction matters at various business, legal, and professional conferences. He has authored several articles and has been quoted in several leading legal and business journals.

Mr. Pillion is admitted to practice in Pennsylvania and New Jersey.
