Terms and Conditions  
Prior to accessing our Alumni Website ("AW") for the first time, you are required to read and to accept these Terms and Conditions.

Eligibility of Use 
Our AW is available to Alumni/ae of Morgan, Lewis & Bockius LLP ("Morgan Lewis") and other users as may be approved by Morgan Lewis ("User/s") and is subject to these Terms and Conditions.  Your use of the AW indicates your acceptance of the Terms and Conditions and your agreement to abide by them.  You understand and agree that the AW is provided "as-is" and that Morgan Lewis assumes no responsibility for any aspect of the AW, including but not limited to the timeliness, deletion, mis-delivery, or failure to store any communications.

Rules of Online Conduct 
You agree to use the AW in accordance with the Terms and Conditions, that you (and not Morgan Lewis) are responsible for any information, data, text, music, photographs, etc. ("Content") that you post, email, or otherwise transmit through use of the AW, and that in your use of the AW that you will not:

(i) post or transmit any Content that is unlawful, threatening, abusive, libelous, defamatory, tortuous, obscene, vulgar, pornographic, harassing, profane, invasive of another's privacy or indecent, or bigoted, hateful or racially, ethnically, sexually or otherwise offensive;
(ii) impersonate any person or entity or falsely state or otherwise misrepresent your professional or other affiliation with any person or entity;
(iii) post or transmit any Content that infringes any patent, trademark, trade secret, copyright, or other proprietary rights of any party; 
(iv) disrupt or attempt to disrupt the normal use of the AW by others; 
(v) post or transmit any information, software or other material which contains a virus or other harmful component;
(vi) post, transmit, or in any way exploit any information, software or other material for commercial or political purposes or which contains advertising, including but not limited to "junk mail" or "pyramid schemes", or any other form of solicitation; 
(viii) use the AW to collect or store personal data about other Users;
(ix) attempt to access or access another user's account or attempt to access areas for which you are not authorized; and/or
(x) interfere with or disrupt the AW or servers or networks connected to the AW, and/or the use of other service providers, or not adhere to or abide by any policies, procedures, or regulations of networks connected to the AW.

You agree that you will not use the AW, including the information provided herein and all related equipment, networks and network devices (specifically including Internet access) for any unlawful purpose.  Morgan Lewis, in our sole and absolute discretion, will determine whether any information transmitted, collected, or received violates this provision.

You understand and acknowledge that Morgan Lewis has no obligation to monitor and may not pre-screen Content.  However, Morgan Lewis may monitor and/or may pre-screen Content.  Morgan Lewis has the right to refuse to post or to remove any Content, in whole or in part, that in our sole and absolute discretion is objectionable or in violation of this Agreement. You acknowledge that Morgan Lewis reserves the right to, and may from time to time, monitor any and all information transmitted or received through the AW.  Morgan Lewis may preserve and may disclose Content if in our sole discretion such disclose may be reasonably necessary: (a) to comply with the law; (b) to enforce the terms of this agreement; (c) to respond to claims that a User has violated the rights of third-parties; and/or, (d) to protect the interests of Morgan Lewis or others.  Acceptance of these Terms and Conditions is your consent to pre-screening, monitoring, preservation, and/or disclosure.

Indemnification. 
You agree to defend, indemnify and hold Morgan Lewis, its partners, employees, and/or agents harmless from and against any and all claims, actions, suits or proceedings, as well as any and all losses, liabilities, damages, costs and expenses (including reasonable attorney's fees) arising out of or accruing from your breach of any representations, warranties, and/or agreements made here in and/or from your use or misuse of the AW, including but not limited to any Content posted or transmitted by your use of the AW, your violation of these Terms and Conditions, and/or your infringement of any intellectual property right of others.

Disclaimer of Warranties. 
Your use of the AW is at your sole risk. The AW is provided on an "as-is" basis and Morgan, Lewis expressly disclaims all warranties of any kind, whether express of implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, and/or non-infringement.  Any material downloaded or otherwise obtained through the use of the AW is  at your own discretion and risk and you will be solely responsible for any damage to your computer system or loss of data that results from the download of any material.  No advice or information, whether oral or written, obtained by you through or from the AW shall create any warranty.  Additionally, there is no warranty that the AW will meet your requirements, will be interrupted, timely, secure, accurate, or reliable.

Limitation of Liability. 
In no event will Morgan Lewis, its partners, employees, and/or agents be liable for any direct, indirect, punitive, incidental, special, consequential or other damages arising out of or in any way connected with the use of the AW or with the delay or inability to use the AW, or for any information, software, products and services obtained through this AW, or otherwise arising out of the use of the AW, whether based on contract, tort, strict liability or otherwise, even if Morgan Lewis has been advised of the possibility of damages.  You specifically acknowledge and agree that neither Morgan Lewis, its partners, employees, nor agents shall be liable for any defamatory, offensive or illegal conduct of any User of the AW.

Termination of Alumni Website 
You agree that Morgan Lewis, in our sole discretion, may terminate your password, account (or any part thereof) or use of the AW, and remove and discard any Content within the AW, for any reason.  Morgan Lewis may in our sole discretion and at any time discontinue providing the AW, or any part thereof, with or without notice.  Further, you agree that Morgan Lewis will have no  liability to you or any third-party for any termination of your access to the AW.  You may terminate the use of the AW at any time by providing notification to info@morganlewis.com

Modification. 
Morgan Lewis reserves the right to amend these Terms and  Conditions, and to modify, add or discontinue any aspect, content, or feature of the AW.  Such amendments, modifications, additions or deletions shall become effective upon notice, which may be provided to you by posting on the AW, via e-mail or any other reasonable means.  Continued use of the AW by you is your acceptance of any such amendments, modifications, additions or deletions.
