Morgan Lewis

HSRscan is a searchable database of letters interpreting the Hart-Scott-Rodino Antitrust Improvements Act of 1976 (the "HSR Act") and its regulations. Morgan Lewis' experienced antitrust lawyers developed HSRscan as a tool to quickly and easily research the often complex issues involved in HSR Act compliance and reporting.

The HSR Act, rules and form are complex and require considerable interpretation. Since the inception of the HSR Act, the Premerger Notification Office of the FTC has provided oral informal interpretations of the HSR Act, rules and form. However, the FTC does not issue any written record of these informal interpretations. Instead, the party requesting the interpretation will write to the FTC, summarizing the facts and the interpretation. These letters, painstakingly collected by Morgan Lewis, form the HSRscan database. Also included in the database is the text of the HSR Act and its implementing regulations.

Due to the dearth of formal interpretations of the HSR Act and rules, the letters included in HSRscan are a standard source of HSR precedent for practitioners. Some interpretations contain redactions, which are indicated in the HSRscan document. The interpretations also often contain hand-written FTC staff marginalia. Whenever possible, that marginalia has been typed in and is indicated on the HSRscan document.
