Investment Management
Morgan Lewis's Tax Practice complements the firm's preeminent Investment Management Practice by representing investment companies, investment advisers, broker-dealers, venture capital and hedge funds, banks and trust companies, insurance companies, and pension plans and their advisors on a broad range of federal, state, local, and foreign tax issues. Such issues include the creation and operation of private and pooled investment vehicles, such as mutual funds, hedge funds, master-feeder structures, bond funds, tax-exempt funds, closed-end funds, variable annuity and variable life funds, tax-managed funds, and exchange-traded funds.

Real Estate Investment Trusts
We help our REIT clients structure their transactions and operations in the most tax-efficient manner, by advising on the structuring of the initial private or public REIT organization, including the roll-up of properties into an UPREIT structure, the structuring of operating partnerships and taxable REIT subsidiaries, the effective allocation of activities and costs between REITs and their TRSs to minimize tax costs, an UPREIT's use of tax-free leveraged acquisitions to acquire real estate, and creative financing such as collaterized debt obligations.

Private Equity
In addition to providing critical tax advice to our private equity clients in connection with buyouts, acquisitions and divestures, we work closely with firm's nationally recognized Private Investment Funds Practice representing sponsors in the formation of domestic and international private equity funds, hedge funds, venture capital funds, mezzanine funds, real estate opportunity funds, fund-of-funds, exchange funds, and other private investment funds. We also represent investors in such investment funds.
