The HSR Act, 15 U.S.C. § 18a, requires that parties to acquisitions of stock or assets meeting certain size thresholds report these transactions to the Federal Trade Commission (FTC) and the Antitrust Division of the Department of Justice (DOJ) and observe a waiting period before consummating the transactions. The HSR filings allow the FTC and DOJ to review the transactions for antitrust concerns.
