Morgan Lewis has prepared a table of HSR Compliance Penalties that provides information pertaining to enforcement actions brought by the Federal Trade Commission in connection with violations of the HSR Act. The table provides the name of the party charged with the violation, the potential dollar exposure, the settlement amount and other information. Violations of the HSR Act subject the violating party to fines of $11,000 per day for each day of the violation. Both sides of a reportable transaction can be fined. Moreover, individual officers or directors may be fined separately depending on the type of violation.
