The responsibilities of public companies are both complex and continually changing. Publicly reporting companies face a wide array of regulations and evolving interpretive rulings, as well as exchange listing requirements that govern the preparation of their quarterly, annual and current reports and the proxy materials for their shareholder meetings. Moreover, the entire process by which public companies communicate with their shareholders and the investment community at large has become subject to significant and, increasing regulation.

As counsel to numerous public companies, including many Fortune 500 companies, we have developed a wealth of experience in counseling domestic and foreign public companies as to their reporting and disclosure obligations under the securities laws and the listing standards of the stock exchanges and their public disclosure practices for both significant and routine events.
