With more than 30 real estate lawyers and other professionals in 10 international offices, Morgan Lewis's Real Estate Practice assists clients wherever their business needs may take them. We efficiently handle transactions of all sizes and degrees of complexity, representing major corporations, regional and national developers, real estate investment trusts (REITs), private equity funds, institutional lenders, investors, pension funds, advisors, and servicers in connection with their ownership, use, and financing of real estate. We have experience in acquisitions, dispositions, financings, workouts and restructurings, land assemblage, development, investments by international entities, sale-leasebacks, leasing, taxation, condemnation, and land use.
Our lawyers provide advice on sophisticated issues with a high level of responsiveness. We demonstrate a thorough understanding of our clients' objectives by having each matter overseen by a hands-on partner who assembles a cost-effective team of lawyers and legal assistants to manage the project. By carefully crafting each team, we are able to maintain excellent service and control costs. We work equally as well with clients in the real estate industry as we do with those whose business models deploy real estate as key strategic assets. We collaborate regularly with other Morgan Lewis practices, including Business and Finance, Tax, and Labor and Employment, to provide seamless, coordinated services to our clients, whatever the demands of the transaction.
Corporate Real Estate
We handle transactions of all sizes and degrees of complexity efficiently and practically. We regularly represent many domestic and multinational companies that have significant real estate holdings. Our group, which practices in seven of the firm's U.S. offices, represents companies in acquiring, selling, permitting, leasing, and financing a range of real estate assets. Regular assignments include site acquisition and development of headquarters buildings and warehouse and distribution facilities, purchases and sales of manufacturing and laboratory facilities, and leasing and subleasing of offices and other facilities throughout the country.
Funds, Real Estate Private Equity, Joint Ventures, and REITs
Our lawyers advise real estate funds, realty joint ventures, public and private REITs, and investors in all aspects of their activities. Our REIT and Private Fund Practices utilize interdisciplinary teams to focus on the complex business, tax, and regulatory issues associated with the formation and operation of real estate funds and REITs.
We negotiate, document, and close construction, permanent, and mezzanine real estate loans for a range of lenders and borrowers, and clients of all types turn to us to negotiate and document their real estate secured—loans and related transactions. Our lawyers also advise clients with regard to complex lending arrangements involving institutional joint ventures and tax-exempt bond financings and assist lenders in creating novel forms of debt and equity financing. The transactions we handle range from middle-market, single-property secured loans to large-scale, multiple-property/multistate credit facilities.
In addition to the negotiation of loans, our real estate lawyers frequently assist private equity funds with large and complex acquisitions. We negotiate institutional investors' investments into funds, the formation of joint ventures between the funds and their operating partners, and the purchases, sales, and leases of property. Our practice is positioned to manage transactions and ongoing real estate portfolio issues that span multiple, international locations and that require the input of several practices.
Green Building, Sustainability, and Energy Efficiency
Our lawyers have experience in matters relating to green building and sustainable development, including green leasing and issues relating to Leadership in Energy and Environmental Design (LEED) and Energy Star certification. We have negotiated leasing provisions addressing energy efficiency retrofits and LEED compliance, advised on energy reporting and benchmarking requirements, and worked with clients entering into agreements for energy building management systems across multiple facilities. As sustainability moves to the forefront of corporate and public policy, our multidisciplinary team provides clients with cutting-edge advice on energy efficiency standards, compliance requirements, and potential opportunities.
Infrastructure, Energy, and Environment–Related Projects
We regularly handle projects such as securing permits and approvals, city and county development agreements, land use entitlements, utility right-of-way issues, property valuation issues, water supply compliance, and negotiation and settlement with various environmental organizations. Our lawyers have experience in the requirements related to sustainable development, adaptive reuse, infrastructure, and water law. We are increasingly providing counsel on public-private partnerships and regularly provide real estate support for infrastructure projects.
Attorneys in our Real Estate Practice have the knowledge and skill to handle a variety of sophisticated office and commercial leases and complex lease financing structures across various industries, including sale/leasebacks. We also regularly represent landlords and tenants in headquarters leasing deals in excess of 100,000 square feet.
Real Estate Partnerships and Joint Ventures
We handle joint venture representations for both institutional investors and real estate operating companies, including REITs. These joint ventures involve single asset transactions and portfolio transactions, span all property types, and cover all areas of the United States. The equity involved in these transactions ranges from $5 million to $250 million.
