Represented BHP Billiton in the $12.1 billion acquisition of Petrohawk Energy Corporation.

Represented Mitsui & Co. in the acquisition of a 12.5% working interest in SM Energy Company's SME Eagle Ford Property for $680 million.

Represented TOTAL E&P USA in the acquisition of 25% of Chesapeake Energy's upstream Barnett Shale assets valued at $2.25 billion. The transaction was among the largest upstream M&A deals in the world in 2009.

Represented BG Group plc in its more than $2 billion acquisition of 50% of the upstream and midstream interests in East Texas/North Louisiana of EXCO Resources, Inc., a Dallas-based independent oil and gas company.

Represented Highstar Capital in its acquisition and project acquisition financing of LS Power's Arlington Valley and Griffeth combined-cycle gas turbine generation facilities in Arizona following a competitive auction.

Counsel to EverPower Wind Holdings in its auction sale of its 120 MW wind generation portfolio to Terra Firma for over $650 million.

Represented Centennial Power in the auction sale of its natural gas, coal, and wind-generating IPP portfolio to Bicent Power for $635 million.

Counsel to Black Hills Corp. in its $810 million auction sale of seven power plants to two private equity funds (Project Finance 2008 Acquisition Deal of the Year).

Represented DCNS, a leader in naval defense, in its acquisition of an eight percent holding in OpenHydro, an Irish renewable energy company, which designs and manufactures marine turbines to generate electricity from tidal streams.

Represented Enhanced Oil Resources (EOR) on the formation of the St. Johns Gas Unit, a 171,000-acre unit located in Apache County, Arizona. This is the first unitization in Arizona and will supply helium as well as CO2 for enhanced recovery in oil fields in New Mexico and West Texas.

Represented International Power America in negotiating the engineering, procurement, and construction contracts for IPA's proposed 660 MW Coleto 2 coal power plant in Goliad County, Texas. South Texas Electric Cooperative will be a minority partner in the project.

Represented Contango Oil & Gas in its joint venture agreement with Patara Oil & Gas to develop proved undeveloped Cotton Valley gas reserves in Panola County, TX.

Represented Entergy and its various electric utility subsidiaries in sales of over $5 billion of first mortgage bonds and other senior securities since 2009.

Represented Constellation Energy Group in the sale of $550 million of its 5.15% Notes due December 1, 2020.

Represented a sponsor in all aspects of contract development and negotiation, development of bankruptcy-remote financing structure, and the closing of a $715 million refinery upgrade project, including an EPC contract, crude oil supply contract, hydrogen supply contract, and offtake agreements. The debt component included a $225 million sub-investment grade 144A note offering, a $325 million bank financing, a $75 million working capital facility, and a newly developed insurance company product to secure payment for oil supplies. (Project Finance Industrial Deal of the Year)

Represented Bosque Power Company, LLC a portfolio company of Arcapita Bank in connection with the following matters related to its 800 MW power plant in Bosque County, Texas: a $412 million credit facility, commodity and interest rate derivative transactions, commercial contracts, corporate governance, claims against Lehman Brothers Commodity Services and Lehman Brothers Holdings based on commodities transactions, construction matters, and contractor disputes.

Represented First Wind in the development and financing of its 60 MW Rollins wind farm in Penobscot County, Maine. The $92 million financing for the project was provided by Key Bank and NordLB.

Represented First Wind in its $107 million project financing for Cohocton wind projects, located in upstate New York.

Represented First Wind in the $116 million portfolio financing of two wind projects located in Maine co-arranged and underwritten by BNP Paribas and HSH Nordbank. The wind projects are selling renewable energy certificates to Citigroup, and one of the projects is selling a portion of its power output to Harvard University.

Counsel to International Power America in the acquisitions of development stage wind generation projects in the midwest, Texas, and Montana, and bids to acquire John Deere Renewables and the 2480 MW Ravenswood Generating Station in New York.

Represented Sofinnova Partners and Aster Capital in their Series C €30 million investment of Avantium, an alternative fuel technology company. Other investors included De Hoge Dennen as, Aescap Venture, Capricorn Cleantech Fund, ING Corporate Investments, Navitas Capital, and the Dutch Ministry of Economy, Agriculture and Innovation.
