Morgan Lewis offers clients a well-established European and International Tax and Corporate Structuring Practice. We have eight tax lawyers located outside of the United States, resident in Frankfurt, London, and Paris. In addition to being licensed to practice tax law under the laws of the France, Germany, and the United Kingdom, we are knowledgeable about structures and the tax laws of other European jurisdictions. Through the firm's Morgan Lewis-TMI joint venture, we have access to tax lawyers in Japan.
The International Tax Practice is supported extensively from our U.S. offices. The practice draws on the resources of the entire firm, encompassing not only all aspects of tax law but also the many other areas that play a role in any structuring or transactional assignment.
We advise our clients on the structuring of international corporate groups from a tax perspective; the implementation of the corporate structure they adopt, including the establishment of subsidiaries and branches (or their liquidation and dissolution); the drafting of intercompany agreements; and the planning and negotiation of mergers, acquisitions, and reorganizations. We frequently take on European Union tax law assignments for both U.S. and European companies, including providing advice on corporate income tax, value-added tax issues, excise duties, and capital duties.
Our International Tax Practice provides complex international tax planning advice and representation in a variety of areas, including the following:
- Cross-border and French, German, and United Kingdom mergers and acquisitions.
- Pan-European and global tax minimization strategies.
- Structuring outbound investment from the U.S. into Europe and other non-U.S. jurisdictions.
- Structuring foreign investments such as new businesses, real estate investments, and portfolio investments in Europe and the Middle East into U.S. investments.
- Structuring tax and operationally effective legal structures for multinational groups.
- Tax-effective use of offshore trusts and corporate structures for high net worth individuals and multinational families.
