HSRscan® is an online resource providing information about the Hart-Scott-Rodino Antitrust Improvements Act of 1976 (the "HSR Act") and its regulations. The HSR Act, 15 U.S.C. § 18a, requires that parties to acquisitions of voting securities or assets meeting certain size thresholds report these transactions to the Federal Trade Commission (FTC) and the Antitrust Division of the Department of Justice (DOJ) and observe a waiting period before consummating the transactions. The HSR filings allow the FTC and DOJ to review the transactions for antitrust concerns.
Morgan Lewis's antitrust lawyers developed HSRscan as a tool to quickly and easily research the often complex issues involved in HSR Act compliance and reporting. A key feature of HSRscan is its searchable database of letters interpreting the HSR Act.
Since the inception of the HSR Act, the Premerger Notification Office ("PNO") of the FTC has provided oral informal interpretations of the HSR Act, rules and form. However, the FTC does not issue any written record of these informal interpretations. Instead, the party requesting the interpretation will write to the FTC, summarizing the facts and the interpretation. The PNO notes its comments or response to these letters, which are a standard source of HSR precedent for practitioners. HSRscan allows you to search these letters for the PNO's informal interpretation.
