Ryan F. Helmrich is an associate in Morgan Lewis's Investment Management and Securities Industry Practice. Mr. Helmrich focuses his practice on regulatory and transactional matters involving investment managers, including development of products and services; operation of separately managed account (or wrap-fee) programs and registered and private funds; and trading and compliance issues relating to such products affecting both broker-dealers and investment advisers. He also regularly advises registered investment companies and their investment advisers.
Mr. Helmrich's clients include investment advisers, broker-dealers, mutual funds, closed-end funds, private investment fund managers and exchange-traded funds. He advises clients on a wide variety of regulatory matters, including federal and state registration and compliance issues. Mr. Helmrich has experience in connection with reorganizations, mergers, acquisitions, and other business combinations of investment companies and other pooled investment vehicles. He also provides ongoing advice with regard to a wide variety of regulatory compliance and securities law issues, including interpretive and "no-action" letter requests, SEC exemptive orders, and related matters.
Prior to joining Morgan Lewis, Mr. Helmrich was director and assistant general counsel at Bank of America Merrill Lynch, where he advised the alternative investment and wealth management businesses, which included registered and unregistered funds and wrap-fee programs. He previously served as an associate in the Washington, D.C. office of Morgan Lewis, where he was a member of the firm's Professional Development Committee.
Mr. Helmrich earned his J.D., cum laude, from the Catholic University of America, Columbus School of Law in 2004, where he served as managing editor of The Catholic University Law Review. He earned his B.A. in justice from American University in 1999.
Mr. Helmrich is admitted to practice in New York, New Jersey, Pennsylvania, and the District of Columbia.
