Thomas E. Duley is of counsel in Morgan Lewis’s Business and Finance Practice. Mr. Duley has more than 10 years of experience in life sciences transactions and intellectual property litigation matters. He has negotiated, drafted, and managed a variety of intellectual property transactions for life sciences companies, including collaboration agreements between biotechnology and pharmaceutical companies, licensing agreements with commercial businesses and academic institutions, supply and manufacturing agreements, and asset purchases and sales involving drug products and manufacturing facilities. He has overseen real estate and construction contracts, and guided and implemented formal contracting policies in compliance with Sarbanes-Oxley regulations. Mr. Duley is also a licensed architect, with experience in designing laboratories.
Prior to joining Morgan Lewis, Mr. Duley was senior corporate counsel and head of the transactional legal group at PDL BioPharma, Inc., a publicly traded biopharmaceutical company that researches, develops, manufactures, and sells pharmaceutical products. In that capacity, he was responsible for all general commercial and intellectual property contracts on behalf of PDL, including managing legal issues arising from collaborations with pharmaceutical and biotechnology companies.
Mr. Duley received his J.D. from the University of California, Davis School of Law in 1995, where he was senior articles editor for the U.C. Davis Law Review. He received his Master of Architecture degree in 1987 and his B.A. in English literature in 1983 from the University of California, Los Angeles.

- Represented a biopharmaceutical company in its acquisition from a pharmaceutical company of its worldwide rights to anti-hypertensive drug Cardene™; in a development and supply agreement for Cardene™ with a large U.S.-based drug manufacturing company; in the expansion of its agreement with a distributor for IV Busulfex® (a conditioning agent used in bone marrow transplants); in the renegotiation of its supply agreement with the manufacturer of clot-busting drug Retavase®; in its license to a biotechnology company of an early-stage antibody; and in numerous in-licenses for patent rights and research technology.
- Represented a biotechnology company in its collaboration and license agreement with another biotechnology company regarding discovery of targets for the development of cardiovascular therapeutic drugs.
- Represented a biotechnology company in a research collaboration agreement with a chemical company to improve the production of certain commercial enzymes.
- Represented a biotechnology company in a series of license and related agreements with a gene-sequencing company and in its collaboration agreement with a Japanese pharmaceutical company to discover and develop therapeutics.
- Represented a biotechnology company in its technology license and collaboration with another biotechnology company to use the transgenic mouse technology to develop fully human antibodies to the client’s targets.
- Represented a medical diagnostics company in license and supply agreements with clinical reference laboratories and universities for its diagnostic test for lipoprotein-associated phospholipase A2.
- Represented a startup biotechnology company in its license agreement with a large pharmaceutical company for rights to a small molecule antibacterial program.
- Represented a drug discovery instrumentation company in its product development agreement with a Canadian analytics company for development of drug discovery instrumentation using microwave spectroscopy technology.
