Randall C. McGeorge is of counsel in Morgan Lewis's Employee Benefits and Executive Compensation Practice. Mr. McGeorge provides counsel on the entire spectrum of executive compensation and employee benefits concerns. In this regard, he counsels clients in the design and implementation of qualified and nonqualified retirement plans, equity incentive plans, executive compensation arrangements, and health and welfare plans.

Mr. McGeorge is also responsible for negotiating and drafting employment and severance agreements on behalf of both corporations and individuals. In addition, he represents clients in dealings with the Internal Revenue Service, Department of Labor, and Pension Benefit Guaranty Corporation with respect to the qualification and operation of their employee benefit plans.

Mr. McGeorge provides transactional counsel in mergers and acquisitions, financings, and other types of transactions. He provides advice to plan trustees, financial service firms, and others regarding ERISA's fiduciary responsibilities, including the applicable prohibited transaction rules.

Prior to joining Morgan Lewis, Mr. McGeorge practiced at a leading New York law firm.

Mr. McGeorge received his LL.M. in taxation from New York University School of Law in 1995 and his J.D. from the University of North Carolina School of Law in 1994. He received his B.A. in accounting and finance from Westminster College in 1991.

Mr. McGeorge is admitted to practice in Pennsylvania and New York.
