J. Todd Culwell is a partner in Morgan Lewis's Business and Finance Practice. Mr. Culwell focuses his practice on development, financing, and acquisitions and dispositions of energy infrastructure projects, domestically and abroad, as well as on oil and gas acquisitions, divestitures, and financings.
His experience with energy infrastructure projects includes coal, wind, solar, biomass, waste-to-energy, and nuclear power generation facilities; LNG liquefaction facilities; LNG receiving terminals; methanol production facilities; chemical projects, pipelines, gas storage, gas separation, and fractionation facilities; and terminalling facilities. Mr. Culwell also represents companies in connection with various forms of dispositions and acquisitions of energy-related assets, including shale and other unconventional resources.
Additionally, Mr. Culwell represents financial institutions and borrowers in a variety of corporate financing activities, including project financing; general commercial lending; reserve-based financings; acquisition financing; letter of credit facilities; leveraged leasing transactions covering a variety of plants and equipment; and various structured financing transactions, including volumetric production payments, prepaid forward contracts, and receivables financing.
Prior to joining Morgan Lewis, Mr. Culwell was a partner in the energy practice of a Houston-based law firm, and before that a partner in the Houston office of an international law firm.
Mr. Culwell earned his J.D., magna cum laude, from South Texas College of Law in 1993 and his B.A. in economics from the University of Texas at Austin in 1990.
