Sean M. Donahue is an associate in Morgan Lewis's Business and Finance Practice and a member of the Securities Practice. Mr. Donahue's practice focuses on a wide range of corporate and securities law matters, with an emphasis on advising public companies with respect to disclosure and securities law compliance issues, corporate governance matters, and transactions, including mergers and acquisitions and public and private offerings of securities.

Prior to joining Morgan Lewis, Mr. Donahue served for more than three years as an attorney-adviser with the U.S. Securities and Exchange Commission (SEC) in the Division of Corporation Finance. While at the SEC, Mr. Donahue worked on a number of transactional and securities compliance matters, with an emphasis on the oil and gas, mining, and food industry. Mr. Donahue has experience with securities disclosure issues affecting initial public offerings, registered and exempt debt and equity offerings, and mergers and acquisitions, as well as issuer reporting obligations under the Securities Exchange Act of 1934. While at the SEC, Mr. Donahue also served in the Division of Corporation Finance's Office of Small Business Policy, where he answered interpretive questions on Regulation D and other private offering exemptions, responded to requests for no-action relief, and participated in rulemaking.

Mr. Donahue has written four law review articles on securities laws with topics ranging from hedge fund regulation to executive compensation.

Mr. Donahue received his LL.M., with distinction, in securities and financial regulation from Georgetown University Law Center in 2009. He received his J.D., cum laude, from Cleveland-Marshall College of Law in 2007, where he was the research editor of the Cleveland State Law Review. Mr. Donahue received his M.B.A., summa cum laude, from Cleveland State University in 2007 and his B.S., cum laude, in finance and investment management from Duquesne University in 2004.

Mr. Donahue is admitted to practice in the District of Columbia and New York.
