Jennifer Walter Mosley is an associate in Morgan Lewis's Business and Finance Practice. Ms. Mosley represents oil and gas companies in upstream and mid-stream matters, with a focus on acquisitions and divestitures of oil and gas properties both domestically and internationally.
Ms. Mosley has experience with structuring and negotiating joint operating agreements, unitization agreements, farm-ins, production handling, transportation and sales contracts, and acquisition agreements. In addition, she has advised clients on energy and natural resource taxation matters at the federal and international levels.
Prior to joining Morgan Lewis, Ms. Mosley was an associate in the energy practice of a Houston-based law firm where her practice focused on domestic upstream and midstream energy transactions. Prior to that, she was a senior associate in the Aberdeen, Scotland office of an international law firm, where her practice focused on the upstream energy sector, with a particular emphasis on the acquisition and disposition of oil and gas assets on the UK Continental Shelf and internationally.
Ms. Mosley earned her LL.M in taxation from the University of Florida in 2005 and her J.D. from South Texas College of Law in 2004, where she was a Langdell Scholar and member of Currents International Law Review. She earned her B.A. from the University of Houston in 2000.

Selected Representations
- Represented an oil and gas company on the $308 million disposition of approximately 70,000 net acres of oil and gas leasehold interest in the Uinta basin.
- Represented an oil and gas company on its $366.3 million acquisition of approximately 21,500 net acres of oil and gas leasehold interest in the West Texas Permian Basin.
- Represented various oil and gas companies on a variety of domestic upstream transactions, including lease acquisition agreements, farm-in agreements, joint exploration and development agreements, transition services agreements, unit operating agreements, and joint operating agreements.
- Represented energy companies on the drafting and negotiation of various domestic midstream transactions, including gas gathering and transportation agreements, condensate gathering and stabilization agreements, measurement and allocation agreements, and product sales agreements.
- Represented a supermajor on the exchange of its entire interest in the Everest, Lomond, and Armada fields and a portion of its interest in the Erskine field in the UKCS, with a major oil company's entire interest in the Amethyst, Neptune, Mercury, Wollaston, and Whittle fields and Minerva Hub in the UKCS, a transaction that involved the transfer of a number of major operatorship's.
- Advised a UK-based energy company on the $423 million acquisition from a major oil company of 19 UKCS oil and gas fields and related infrastructure.
- Represented various oil and gas companies on a variety of upstream transactions including transportation, processing and services agreements, mutual hold harmless agreements, unitization and unit operating agreements, joint operating agreements, confidentiality agreements, and guarantees.
