Jon Brian Davis is of counsel in Morgan Lewis's Tax Practice. Mr. Davis practices exclusively in the area of federal income tax law, with a focus on domestic and cross-border tax planning for U.S. and non-U.S. multinational companies. Previous representations include analyzing and structuring a broad array of transactions, including reorganizations, single-party and consortium acquisitions, joint ventures, spin-offs, dispositions, and other corporate reconfigurations. Mr. Davis also advises clients on cross-border issues relating to the antideferral regimes (e.g., subpart F), foreign tax credits, the intersection of subchapter C (e.g., section 367), income sourcing, nexus (i.e., U.S. trade or business and permanent establishment considerations), and the application of bilateral income tax treaties.

Prior to joining Morgan Lewis, Mr. Davis was an associate at a premiere U.S. tax boutique. Before that, he was an associate in the New York office of an international firm, where a significant portion of his practice was devoted to structuring, negotiating, and documenting M&A transactions on behalf of North American, Asian, and European clients. While in New York, Mr. Davis also maintained a considerable practice representing management companies and sponsors in structuring and implementing domestic and cross-border private equity, hedge fund, and structured finance opportunities and transactions.

Mr. Davis is a member of the International Fiscal Association, the ABA Section of Taxation, and the Tax Section of the New York State Bar Association.

Mr. Davis received his LL.M. from New York University School of Law in 2000, his J.D. from the University of Oregon School of Law in 1999, and his B.S. from the University of Oregon in 1995.

Mr. Davis is admitted to practice in the District of Columbia, New York, and Washington.
