Jarrod A. Huffman is an associate in Morgan Lewis's Business and Finance Practice and a member of the Private Investment Funds Practice.
Mr. Huffman advises clients in the formation of private investment funds, including buy-out funds, venture funds, fund of funds, hedge funds, real estate funds, secondary funds, and other alternative investments. He also regularly represents fund of funds, employee benefit plans, and other institutional investors in connection with their investment in private investment funds and in the secondary sale of interests in private investment funds. Mr. Huffman's practice encompasses both tax and non-tax issues related to private investment funds and their investors.
Mr. Huffman's practice also covers a wide range of federal income tax-related matters. He represents clients in connection with a variety of transactional matters, including domestic and cross-border mergers and acquisitions, dispositions, spin offs, restructurings, financings, the formation of partnerships and limited liability companies, and REITs. In addition to advising clients on transactional matters, Mr. Huffman has experience representing clients in audits and appeals before the Internal Revenue Service. His controversy experience includes audit defense, administrative appeals and settlements, and negotiating pre-filing agreements.
Prior to joining Morgan Lewis, Mr. Huffman practiced at a large New York law firm where his practice focused on financial products.
Mr. Huffman received his LL.M. in taxation from New York University School of Law in 2006; his J.D. from the University of Southern California Law School in 2005; his M.A. in economics, with an emphasis in business economics, from the University of California, Santa Barbara in 2002; and his B.A., with honors, in business economics, with an emphasis in accounting, from the University of California, Santa Barbara in 2001.
Mr. Huffman is admitted to practice in California and New York and before the U.S. Tax Court.
